NCP reviews a significant number of investment opportunities and works hard to quickly respond with constructive feedback and an accurate indication of
interest. We try to balance our respect for the time and effort involved in raising capital by entrepreneurs with our disciplined investment review and due
diligence process. Our investment process includes the following steps:

We welcome unsolicited investment opportunities from entrepreneurs however we receive the majority of business opportunities as referrals from our
limited partners and other partners with whom we have strong relationships such as legal, accounting and investment banking firms.

Complete Company Opportunity Form
We ask all interested companies to fill out our Company Evaluation Form, which aggregates the information that we would seek in an initial meeting. This
information allows us to assimilate critical issues quickly, determine the direction of due diligence proceedings, observe management’s market
understanding and compress the transaction timeframe.

Initial Meeting
One lead partner will be responsible for managing the relationship between NCP and management and leading the investment effort. Together we will determine the steps of due
diligence toward our potential partnership.

Conduct Due Diligence
Due diligence includes reviewing the business plan and assumptions, thoroughly analyzing the opportunity and assessing risk. This process will be interactive and will help
us determine our compatibility. We will meet with all management team members and check references. We will also thoroughly analyze the market size, potential, and competitive
dynamics and review the key differentiating product or service.

Term Sheet
For opportunities where NCP has strong interest, investment terms and structures will be discussed. NCP remains innovative and flexible in structuring transactions to ensure fair
transactions with goals and incentives aligned for long-term success.

NCP Meeting
Every investment decision requires consensus among the partners so a full meeting of the partners and the management team will be included in the due diligence.
